The Firm provides legal services and all other services of a legal nature to various companies during past and on-going merger and acquisition transactions which have included:
- Scheme of arrangement between United Nigeria Insurance Nigeria Plc and United Nigeria Life and General Insurance Plc. We acted as solicitors to United Nigeria Life and General Insurance Plc.
- Scheme of arrangement between Nestle Foods Nigeria Plc and Nestle Nigeria Limited in 1996. We acted as solicitors to Nestle Nigeria Limited.
- The take-over of RT Briscoe Nigeria Plc by Resource Management Nigeria limited. We acted as solicitors to the take-over.
- The take-over and restructuring of Toyota Nigeria Limited by Elizade Nigeria Limited. We acted as solicitors to the take-over and restructuring.
- The acquisition of a controlling interest in Pacific Bank Limited. We acted as solicitors for the acquirer.
- The Intercontinental Bank group merger. We acted as solicitors to Gateway Bank Plc in 2005.
- The First City Monument Bank Limited’s merger with Co-operative Development Bank Plc. We acted as solicitors to the merger transaction in 2005.
- The First City Monument Bank Limited’s acquisition/merger of Nigerian-American Bank Limited. We acted as the transaction solicitors in 2005.
- The First City Monument Bank Limited’s acquisition of Midas Bank Limited. We acted as the transaction solicitor in 2006.
- The take-over of Stirling Civil Engineering Construction Nigeria Limited by Sandstram Limited and Brownrig Limited. We acted as solicitors for the acquirers.
- The take-over of African International Bank Limited by Diamond Bank Plc. We acted as solicitors to African International Bank Limited.
- The merger between Sterling Assurance Nigeria Limited and Newline Insurance Nigeria Limited and Universe Re-insurance Nigeria Limited. We acted as the solicitors to Newline Insurance Nigeria Limited.
- The acquisition of the Nigerian Sugar Company (in liquidation) by Josepdam & Sons Nigeria Limited in 2006. We acted as solicitors to the acquirer.
- The acquisition of OK Foods Limited by Olam Nigeria Limited in 2011. We acted as solicitors to the acquisition.
- The acquisition of Ranona Limited by Olam Nigeria Limited in 2012 – we acted as solicitors to the acquisition.
- The acquisition of United Biscuits Limited (Ghana) by Olam International Limited with a transaction value of US$10 million in 2011. We acted as advisers to the acquirer.
- The acquisition of a commercial bank in Ghana by Kedari Capital Limited (a Nigerian company) with a transaction value of US$23 million. We acted as advisers to the acquirer.
- The acquisition of Tasty Food Limited (a tomato paste manufacturing company Nigeria in Ghana) by Olam International Limited with a transaction value of US$12 million). We acted as advisers to the acquirer.
- The acquisition of Crown Flour Mills Limited noodle business by Olam International Limited – we acted as the local solicitors to the acquirer.
- The acquisition of Archer-Daniels-Midland Global cocoa businesses by Olam International Limited – we acted as local counsel on the ADM Ghana Cocoa unit.
- The acquisition of Olam International Limited’s shares in OK foods Limited, Ranona Limited and Caraway foods International (Nig.) Limited by Caraway PTE Limited in 2015. We acted as local counsel to the acquisition.
- The acquisition of Panasia International Fzco’s shares in Pan Africa Agri Limited by Caraway PTE Limited in 2015. We acted as local counsel to the acquisition.
- The acquisition of assets of BUA Flour Limited and BUA PastaLlimited by Quintessential Foods Nigeria Limited and the purchase of shares by Olam International Limited in 2015 with a transaction value of US$275 million. We acted as the local counsel to the acquirers – Quintessential Foods Nigeria Limited and Olam International Limited.
We have also in recent times had occasion to write legal opinions on various aspects of securities regulation, a few of which included:
Legal opinion for UBA Trustees on certain aspects of the Nigerian International Debt Fund Plc which was established as an investment vehicle to invest in Nigerian government debt obligations such as Nigerian collateralized fixed rate bonds and Central Bank promissory notes.
Legal opinion for UTC Nigeria Plc during its recent divestment in five major organisations as part of a restructuring of the business focus for Nigeria.
Legal opinion for Arthur Andersen & co. during the recent re-organisation of Arthur Andersen and Andersen Consulting limited. Our advice in perusing the deed of partnership, member firm interfirm agreement and preparing a legal opinion particularly on labour law, tax law and foreign investment law implications, of the re-organisation. We were the retained solicitors for Arthur Andersen Nigeria before its dissolution.
Legal opinion for the International Finance Corporation on the capacity and power of Helios Towers Nigeria Limited to enter into a restructuring override agreement amongst other transaction agreements.
